Re: Inclusion of amended Invest in Clean Energy (ICE) Proposal in the company proxy statement and for debate and vote at the annual meeting.

Dear Mr. Brune,

I have received just today, Tuesday, January 30, 2001, the decision of the Securities and Exchange Commission regarding the Invest in Clean Energy (ICE) Proposal which I submitted to your company last October 30th. The decision reads in part:
"It appears, however, that this defect could be cured if the proposal were recast as a recommendation or request to the board of directors. Accordingly, unless the proponent provides Constellation with a proposal revised in this manner, within seven calendar days after receiving this letter, we will not recommend enforcement action to the Commission if Constellation omits the proposal from its proxy materials in reliance on rule 14a-8(i)(1)."

Enclosed is the revision which recasts the ICE proposal as recommendation.
